1. Definitions
"Company," "we," "our," or "us" refers to Parioni Group.
"Client," "you," or "your" refers to the business or individual engaging our services.
"Services" means the automation, AI consultancy, custom software solutions, reports, tools, and related materials provided by Parioni Group.
2. Services provided
Parioni Group provides bespoke process automation, AI integration, and custom software development services. These may include, but are not limited to:
Workflow and process automation
AI-driven solutions and consultancy
Custom web application design and development
Reporting, analytics, and related advisory services
All services are tailored to client needs and delivered based on mutually agreed scopes of work.
3. Use of services
Clients agree to provide accurate, complete, and timely information necessary for the delivery of our services.
You must not misuse our services, attempt unauthorised access, or use them for unlawful or unethical activities.
Where software or digital tools are provided, you may only use them in accordance with the agreed license and scope.
4. Fees and payment
All fees will be outlined in a formal proposal or contract. Payment terms are typically 7-10 days from the invoice date unless otherwise agreed. Late payments may incur interest charges or suspension of services.
5. Intellectual property
All content, reports, code, designs, and materials created by Parioni Group remain the property of Parioni Group unless explicitly transferred in writing.
Clients receive a non-exclusive, non-transferable license to use deliverables solely for their internal business purposes.
Any third-party software or APIs integrated as part of our work remain subject to their respective licensing terms.
6. Confidentiality
Both parties agree to maintain the confidentiality of all non-public and sensitive information shared during the course of the engagement. This obligation continues even after termination of services.
7. Liability
Parioni Group shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or deliverables. Our total liability is limited to the amount paid by the client for the specific services giving rise to the claim.
8. Termination
Either party may terminate the engagement by providing written notice. Clients remain responsible for payment of all services rendered up to the termination date. Upon termination, any ongoing licenses or access to Parioni Group’s proprietary tools may be revoked.
9. Changes to terms
We reserve the right to update these Terms and Conditions at any time. The most current version will always be available on our website, with the effective date clearly indicated.
10. Governing law
These Terms and Conditions are governed by the laws of Singapore. In the event of any dispute, claim, or disagreement arising out of or in connection with our services, both parties agree to first attempt to resolve the matter amicably through good-faith negotiations. If the dispute cannot be resolved internally within 30 days of written notice, the matter shall then be referred to the competent courts of Singapore, which shall have exclusive jurisdiction.
